This document is an electronic record in terms of the Information Technology Act, 2000 and the rules thereunder as applicable, and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signature.
This document is published in accordance with Rule 3(1)(a) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, which requires publishing the rules and regulations, privacy policy and terms of use for access to or usage of the domain name www.medagree.net (“Website”), including the related MEDAGREE mobile application (together, the “Platform”).
This is a legally binding agreement between any person who accesses or uses the Platform — as a doctor or individual professional, a hospital or recruiter, a marketplace buyer (“Buyer”) or a marketplace seller (“Seller”) (collectively “you”, “your”, “User”) — and Medagree Healthtech Private Limited (“we”, “us”, “our” or “Medagree”). Marketplace services on the Platform are business-to-business (B2B) and are provided to business entities for commercial purposes only. Upon written request to admin@medagree.net we may make these Terms available in a language specified in the Eighth Schedule of the Constitution of India; in case of discrepancy the English version prevails.
PLEASE READ THESE TERMS CAREFULLY. IF YOU DO NOT AGREE TO THEM, DO NOT ACCESS OR USE THE PLATFORM. Continued use after changes are posted constitutes acceptance of the amended Terms; we may change, add to or remove portions of these Terms at any time, and it is your responsibility to review them periodically.
These Private Beta Terms are effective from 21 July 2026. Your use of the Platform and of Medagree’s services, features, functionality, software and products (the “Services”) is subject to these Terms and the Privacy Policy, together with any other rules and policies Medagree may publish from time to time. Additional terms may apply to specific services, features, contests or promotions and are to be read as part of these Terms.
Registration is required to access the Services. Services are provided on a best-efforts, “as is” and “as available” basis and may be interrupted, restricted, modified, suspended or withdrawn — in whole or in part, and during the beta in particular — at Medagree’s discretion. Some services may be supported or provided by third-party service providers, in which case your contracting entity for those services is that provider and Medagree disclaims liability for claims arising from their services.
Except with Medagree’s approval, one User may register only one account, and commercial (Buyer/Seller/recruiter) accounts must be used for business purposes only. You are solely responsible for the confidentiality and security of your credentials and OTPs; all activity under your account is deemed authorised by you. You agree to provide true, accurate, current and complete information — including, for business accounts, business name, GSTIN, PAN and similar particulars where requested — to keep it updated, and to furnish additional documents for verification when requested. We may validate the information directly or through third-party providers in accordance with the Privacy Policy.
By using the Platform you consent to receive communications from Medagree — including transactional, promotional and/or commercial messages — by e-mail, SMS, WhatsApp, phone call, in-app notification or notices posted on the Platform.
You shall not copy, reproduce, download, republish, sell, distribute or commercially exploit Platform content, nor use robots, spiders, scrapers, deep-links or equivalent means to access or monitor the Platform or build a competing collection or database. You shall not host, display, upload, publish, transmit or share any information which: belongs to another person without right; is harmful, harassing, defamatory, obscene, paedophilic, invasive of another’s privacy, hateful, or racially or ethnically objectionable; is misleading, patently false or published to mislead or harass for financial gain; harms minors; infringes any patent, trademark, copyright or other proprietary right; is fraudulent or involves counterfeit or stolen products; violates any law in force; impersonates another person; contains viruses or malicious code; threatens the unity, integrity, defence, security or sovereignty of India or public order; involves spam, chain letters or unsolicited mass mailing; solicits gambling; or promotes illegal activity.
You shall not attempt to gain unauthorised access to any portion of the Platform or connected systems, probe or test their vulnerability, trace information about other Users, undermine the integrity of Medagree’s feedback systems, or make defamatory or denigrating statements about Medagree or its brand. You shall comply at all times with the Information Technology Act, 2000 and applicable rules, and with applicable modern-slavery, child-labour and fair-employment laws in your own organisation.
By posting content on the Platform you grant Medagree a perpetual, worldwide, royalty-free, sub-licensable licence to display, transmit, distribute, reproduce, publish, translate and otherwise use that content in connection with operating the Platform, and you warrant that you hold the rights needed to grant this licence. Clinical posts must not contain identifiable patient information; content on MEDAGREE is not medical advice and is no substitute for professional judgment in the care of individual patients.
Private Beta note — do not circulate what you see here. Cases, profiles, messages, listings and any other content or information you access on the Platform during the Private Beta are made available for your own use only. Do not screenshot, forward, republish or otherwise share or circulate any of it outside the Platform, in whole or in part, without Medagree’s prior written consent.
If a User breaches these Terms, or Medagree reasonably believes so, Medagree may without notice: suspend or terminate the account (and related accounts); block, restrict, downgrade or terminate access to any Service; remove listings or content; withhold settlements (where applicable); or take any other corrective action it deems appropriate. Medagree does not pre-screen User content but may remove content that violates these Terms; such action does not dilute Medagree’s position as an intermediary. Inactive accounts may be delisted, deactivated or suspended. Medagree may cooperate with government authorities and injured third parties in investigations and may disclose a User’s identity and contact information as required by law or legal process.
Medagree is merely a facilitator and is not a party to, and does not control, any offer, exhibition or transaction of sale or purchase between Buyers and Sellers on the Platform. A sale concluded following an enquiry on the Platform is a bipartite contract between the Buyer and the Seller. Medagree cannot and does not confirm any Seller’s or Buyer’s identity or credentials and encourages Users to exercise discretion and caution. Each User fully assumes all transaction risk, and title in products never vests with Medagree. Medagree does not mediate disputes between Buyers and Sellers, and each User releases and shall indemnify Medagree from claims arising out of such transactions.
Private Beta note: payment collection, settlement and logistics services described in the Buyer and Seller sections below are not enabled during the Private Beta. Transactions initiated via the Platform are negotiated, paid for and fulfilled directly between Buyer and Seller. The corresponding provisions apply as and when Medagree enables those services and communicates the applicable rates and terms.
To the maximum extent permitted by law, the Services are provided “as is”, “as available” and “with all faults”, and Medagree disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose. Medagree makes no representation about the validity, accuracy or completeness of information on the Platform, or that listings do not violate third-party rights. Except as provided herein, the aggregate liability of Medagree for any claims arising in connection with these Terms shall not exceed INR 1,000. In no event will Medagree be liable for consequential, incidental, special, exemplary or punitive damages, including lost profits. Each User agrees to indemnify Medagree, its affiliates, directors, employees, agents and representatives against all damages, losses, claims and liabilities (including legal costs on a full-indemnity basis) arising from your content, your use of the Platform, your breach of these Terms or of applicable law (including tax laws), services you avail from third-party providers, or your negligence or wilful misconduct.
Private Beta. The indemnity above applies in full during the Private Beta, including to any claim, loss, damage or liability arising out of or connected with information you submit, disclose or share while using the Platform, or that becomes accessible to others through your own use of the Platform. The onus of safeguarding any information you choose to submit or share remains with you.
Medagree shall not be liable for any loss, delay, failure or disruption resulting directly or indirectly from acts of nature or causes beyond its reasonable control, including internet, equipment or power failures, strikes, riots, civil disturbances, fires, floods, storms, explosions, acts of God, war, governmental action, epidemics, pandemics, curfews, lock-downs, orders of courts or tribunals, or non-performance of third parties.
Medagree is the sole owner or lawful licensee of all rights and interests in the Platform and Platform content, other than User-generated content. “Medagree”, “MEDAGREE” and related icons and logos are marks of Medagree Healthtech Private Limited and are protected under applicable copyright, trademark and other proprietary-rights laws; unauthorised copying, modification, use or publication of these marks is strictly prohibited. You retain ownership of content you post, subject to the licence in clause 4.
Legal notices to Medagree shall be made in writing and delivered to: Medagree Healthtech Private Limited, Flat 203, Lahari Pearl Apartment, Alkapoor Township, Puppalaguda, Rangareddy District 500089, Telangana — Attn: Legal Department. Notices to Users are effective when sent to the last-known e-mail, phone or address provided, sent by SMS/WhatsApp/in-app notification, or posted on a publicly accessible area of the Platform. These Terms constitute the entire agreement between you and Medagree regarding the Platform and supersede prior agreements. Medagree and the User are independent contractors; no agency, partnership, joint venture or employment relationship is created. If any provision is held invalid, the remainder continues in force; failure to enforce a right is not a waiver. Medagree may assign these Terms; you may not. These Terms are governed by the laws of India, and the parties submit to the exclusive jurisdiction of the courts of Hyderabad, Telangana.
These Buyer terms apply in addition to the General terms to any User purchasing or enquiring about products for commercial purposes. You represent and warrant that: you are a lawfully existing business entity (or its authorised representative) competent to agree to these Terms; the address you register is your place of business; you will use the Platform for business purchases only and not for personal consumption; you will comply with applicable law; and the information you provide is and will be kept true, accurate, current and complete. You consent to your contact information being included in Medagree’s database and used per the Privacy Policy. You are solely responsible for verifying Sellers, products and any responses received, and for payments you make to Sellers. When payment, settlement or logistics services are enabled by Medagree, the rates, fees (including any convenience fees), refund handling and delivery terms communicated at that time will apply, Medagree acting solely as a payment collector in a fiduciary capacity where it collects payments.
These Seller terms apply in addition to the General terms to any User listing or offering products for sale. You represent and warrant that: you are a lawfully existing business entity competent to agree to these Terms; you are legally able to sell the products you list; your listings are accurate, in an appropriate category, kept in stock, and do not infringe any third-party intellectual-property or other rights; the description and particulars of any consignment are complete and accurate; and you hold all licences and permissions required to sell, trade or distribute the products. Counterfeit, stolen, prohibited or dangerous goods are strictly forbidden. You are solely responsible for invoicing Buyers and for your GST, TDS and other tax compliance, and you shall indemnify Medagree for losses arising from your non-compliance. Medagree may audit listings for compliance and may levy communicated penalties for violations, and may suspend or delist any listing or account per clause I.5. When sales & distribution support, payment & settlement, advertising or similar services are enabled, the fees and settlement timelines communicated at that time will apply, and Medagree may set off amounts due to it from amounts collected on your behalf.
By registering your profile or resume on the Platform you agree that: you alone may update your profile, free of cost; Medagree offers no guarantee of a satisfactory response, or any response, to your profile or applications; Medagree neither guarantees nor warrants the credentials or bona fides of any prospective employer, and it is your sole responsibility to verify the authenticity of any response received — including before travelling for any job or interview. When you express interest in a job listing you authorise Medagree to make your application information available to the relevant employer(s). Medagree may reject, edit to fit its database, or delete profile data, and may remove duplicate profiles uploaded beyond reasonable limits. Information you make visible in public areas or searchable databases may be accessed by others worldwide; use the available privacy settings to control visibility, and do not post information you would not want public. You represent that you are not a minor and are under no legal disability. Payments to recruiters are not advised and are at your own risk; Medagree acts as a facilitator only and does not charge jobseekers for applying.
You shall comply with all applicable data-protection laws when processing personal data obtained through the Platform, implement adequate technical and organisational controls to protect it, use it only to contact candidates for genuine, existing vacancies you are authorised to fill, and retain it no longer than necessary. Once you collect shared personal data you act as an independent data controller responsible for its secure use, and you shall not transfer it to sub-processors without equivalent safeguards. Access to subscribed services must be limited to authorised personnel bound by confidentiality. You shall not charge any fee from candidates responding to your listings, and you shall not forward a candidate’s resume to their current employer. You are solely responsible for actions taken on the basis of any background check or screening. Medagree may collect device and location details to keep account access safe and may restrict accounts showing suspicious activity.
You may submit any grievance regarding the Platform or the Services — including abuse on the Platform or discrepancies in the processing of information — to the Grievance Officer. In accordance with Rule 3(2) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, we will acknowledge your grievance within 24 hours and endeavour to resolve it within 15 days of receipt.
